Know What a CRE Deal Produces After Taxes — Before You Commit Capital

Tax Logic CRE helps owners, developers, investors and brokers understand the after-tax consequences of acquisitions, renovations, ownership structures and exits before capital is committed. The deduction is created at the property; its usability is determined at the taxpayer.

A Tax Deduction Is Only Valuable If You Can Use It

Most CRE decisions are underwritten on pre-tax numbers. The problem shows up later — a deduction that can’t be used, a passive loss that’s trapped, a disposition that triggers recapture no one modeled. Tax Logic CRE looks at the whole decision — acquisition, renovation, development, refinancing, disposition — identifies the tax consequences hiding inside it, and brings the right people in before the structure is locked.

What does cost segregation change?

Cost segregation changes the timing of depreciation deductions, not the amount of income a property produces. It may accelerate eligible depreciation into earlier years, but it does not by itself change NOI or guarantee that the taxpayer can currently use the resulting deductions.

Can a passive LP use cost segregation losses?

Not automatically. A partnership may generate accelerated depreciation at the property level, but an individual limited partner's ability to use the resulting K-1 loss depends on passive-activity rules and other taxpayer-level limitations.

When should CRE tax planning begin?

Before the decision is made — acquisition, design, renovation, restructuring or disposition — rather than after the tax return is prepared.

The deduction is created at the property. Its usability is determined at the taxpayer.

Both are easier to evaluate when the tax consequences are considered early.

Tax Strategy – Advisory – CRE-Focused

Make Commercial Real Estate Decisions More Tax-Efficient

Tax Logic CRE applies an after-tax layer to the CRE decision — one strategy, supported by cost segregation, Section 179D, reusable walls, and CPA coordination.

We coordinate CSSI engineering-based cost segregation, Section 179D analysis, 1031 exchange planning, and Green Zip® reusable-wall strategies with each client’s CPA and project team — identifying defensible opportunities that may improve after-tax cash flow while supporting the property’s operational plan.

Understand the Deal

Every acquisition, renovation, development, refinancing and disposition carries tax consequences that pre-tax underwriting misses. We start with the decision itself — before any tool is named.

Model the after-tax outcome before capital is committed.

Identify the Tax Consequences

Cost segregation, QIP, Form 3115 (§481(a) catch-up adjustment rather than requiring amended returns), passive-loss usability, partial asset disposition, 1031, reusable walls and recapture — the mechanisms that determine what a deduction is worth to the taxpayer.

The deduction is created at the property; its usability is determined at the taxpayer.

Coordinate the Specialists

Nick doesn’t replace the CPA, engineer or attorney. He identifies the issue early and brings the right professionals — CPA, cost-seg engineer, attorney, broker, ownership team — into the conversation before the structure is locked.

The right people, in the room, before the decision is final.

Founder of Tax Logic CRE

Meet Nick Coppola

Nick Coppola is the founder of Tax Logic CRE and a mechanical engineer by training with more than four decades of business and real estate experience. He helps CRE owners, developers, investors and brokers identify the tax consequences hiding inside acquisitions, renovations, ownership structures and dispositions before major capital decisions are finalized.

Nick does not replace the CPA, attorney or engineer. His role is to identify the issue early, ask the right questions, model the economic impact, and bring the appropriate professionals into the conversation before opportunities are lost. Where a study is warranted, he coordinates engineering-based cost segregation through CSSI and, where reusable-wall strategy fits, Green Zip® — always deferring the filing position to your CPA.

The deduction is not the strategy. What the owner keeps and can redeploy is the strategy.
